IMPORTANT: These Terms and Conditions constitute a legally binding agreement. Please read them carefully before using ConductPath. By accessing or using ConductPath, you agree to be bound by these terms. If you do not agree, do not use the platform. These terms are a template prepared for informational purposes. Consult a licensed attorney before publishing.

1. Acceptance of Terms

By accessing or using ConductPath (“the Platform”), operated by Will Chase AI Solutions (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms apply to all users including Super Admins, Administrators, and Teachers. If you are using ConductPath on behalf of a school or school district, you represent that you have authority to bind that institution to these Terms.

2. Description of Service

ConductPath is a school-wide behavior tracking and parent communication platform for K-12 educational institutions. The Platform allows authorized school staff to log student behavioral incidents, send automated parent notifications, track escalation levels, generate reports, and manage student reward eligibility. ConductPath is provided as a Software as a Service (SaaS) and is accessible via web browser and as a Progressive Web App (PWA).

3. Eligibility and Authorized Use

3.1 Authorized Users

ConductPath is intended for use only by authorized school personnel including administrators, teachers, and other staff who have been granted access by a Super Admin. Use by unauthorized individuals is strictly prohibited.

3.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately at hello@conductpath.com if you suspect unauthorized access to your account
  • You are responsible for all activity that occurs under your account
  • You may not share your login credentials with any other person

3.3 School and District Responsibility

The school or district that enters into a subscription agreement with Will Chase AI Solutions (“Subscriber”) is responsible for ensuring all authorized users comply with these Terms. The Subscriber is responsible for managing user access and removing accounts for staff who are no longer employed or authorized.

4. Student Data and FERPA Compliance

4.1 FERPA

ConductPath stores and processes student education records as defined under the Family Educational Rights and Privacy Act (FERPA). We operate as a “school official” with a legitimate educational interest under FERPA when providing services to your institution. We do not use student data for any purpose other than providing and improving the ConductPath service.

4.2 Data Ownership

All student data entered into ConductPath belongs to the school or district. Will Chase AI Solutions does not claim ownership of any student records. Upon termination of your subscription, student data will be made available for export for a period of 30 days before being permanently deleted from our systems.

4.3 Prohibited Uses of Student Data

  • We will not sell student data to any third party
  • We will not use student data for advertising or marketing purposes
  • We will not share student data with third parties except as required to provide the service or as required by law
  • We will not build personal profiles of students beyond what is necessary to provide the service

4.4 IEP and Section 504 Data

ConductPath stores IEP and Section 504 status indicators for students. This information is used solely to trigger compliance protections within the Platform. The Platform does not store the contents of IEP documents, disability classifications, psychological evaluations, or medical records.

5. Acceptable Use

You agree to use ConductPath only for lawful purposes and in accordance with these Terms. You agree not to:

  • Enter false, misleading, or inaccurate student data
  • Use the Platform in any way that violates applicable federal, state, or local laws including FERPA, IDEA, Section 504, and applicable state student privacy laws
  • Attempt to gain unauthorized access to any part of the Platform or its related systems
  • Use the Platform to harass, discriminate against, or retaliate against any student or staff member
  • Interfere with or disrupt the integrity or performance of the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform

6. Subscription and Payment

6.1 Fees

Access to ConductPath requires a paid subscription. Pricing is based on school size or district size as described on conductpath.com/pricing. Fees are billed monthly or annually as selected at the time of subscription.

6.2 Payment

All fees are due in advance. Failure to pay fees on time may result in suspension or termination of access to the Platform.

6.3 Refunds

All subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Platform through the end of your current billing period.

6.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days notice of any price changes to existing subscribers before the new pricing takes effect.

7. Data Security

We implement reasonable technical and organizational security measures to protect student data and other information stored in ConductPath. However, no method of transmission over the internet or method of electronic storage is 100% secure. We cannot guarantee absolute security. In the event of a data breach affecting student data, we will notify affected Subscribers in accordance with applicable law.

8. Intellectual Property

ConductPath and all related software, designs, logos, and content are the exclusive property of Will Chase AI Solutions. These Terms do not grant you any right, title, or interest in the Platform beyond the limited right to use it as described herein. ConductPath™ is a trademark of Will Chase AI Solutions. All rights reserved.

9. Termination

We may suspend or terminate your access to ConductPath at any time for violation of these Terms, non-payment, or any other reason at our sole discretion with reasonable notice. You may terminate your subscription at any time by contacting us at hello@conductpath.com. Upon termination, your right to use the Platform immediately ceases.

10. Disclaimer of Warranties

CONDUCTPATH IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WILL CHASE AI SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF CONDUCTPATH, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Georgia.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify Subscribers of material changes by email or by posting a notice on the Platform. Your continued use of ConductPath after such changes constitutes your acceptance of the updated Terms.
